Legal & Company Secretary Manager

About the role

The Legal & Company Secretary Manager will ensure the organization complies with its constitution, by‑laws, and all applicable laws and regulations. This senior position supports the Senior Management Team and Board of Directors by providing timely legal updates, advice, and governance oversight.

Key responsibilities

• Monitor compliance with constitutional, statutory, and regulatory requirements.
• Prepare and present regular legal updates and reports to senior management and the board.
• Act as the primary liaison with government agencies and other authorities.
• Manage litigation, including filing complaints, obtaining court decisions, and enforcing judgments.
• Draft, review, and vet contracts, agreements, lease documents, and commercial arrangements.
• Organise shareholders’ and board meetings, and draft resolutions in coordination with the compliance department.
• Develop and revise corporate governance policies and related legal documents.
• Provide legal advice on compliance, risk management, and other corporate matters.

Required profile

• Bachelor’s degree in Law.
• 3–5 years of experience in a banking environment or law firm.
• Strong analytical ability to identify complex legal issues and propose practical solutions.
• Excellent supervisory and leadership capabilities.
• Fluent in English and Khmer, both written and spoken.
• High commitment, proactive work ethic, and ability to work under pressure.
